　　一、乙方接受甲方的聘请，指定律师????????????????????担任甲方的常年法律顾问。遇重大事项或者业务需要，经甲方同意，乙方可以根据甲方需要，选派其他律师参与有关法律顾问工作。

　　二、常年法律顾问的工作范围：

　　Article?2??Service?Scope

　　1.为甲方生产、管理、经营等方面重大决策的合法、合规性提出法律建议；

　　Provide?legal?advice?on?legitimacy?andcompliance?of?major?decisions?made?by?Party?A?concerning?production,administration,?operation,?etc;

　　2.协助甲方审核其在生产、管理、经营活动中重大合同、协议及其他法律事务文件；

　　Assist?Party?A?to?review?major?contracts,?agreementsand?other?legal?files?regarding?production,?administration?and?operationactivities;

　　3.优先代理甲方参加各类项目谈判、诉讼、非诉讼交涉调解或者仲裁活动；

　　Participate?in?various?project?negotiation,?litigation,non-litigation?mediation?or?arbitration?activities?on?behalf?of?Party?A?withpriority;

　　4.协助甲方对员工进行法制教育和法律培训；

　　Assist?Party?A?to?conduct?legal?educationand?training?to?its?staff;

　　5.其他属于常年法律顾问工作范围的事务（详见附件三：《常年法律顾问工作内容》）。

　　Other?services?within?the?working?scope?of?regularlegal?counsel?(Please?refer?to?Annex?III:?ServiceScope?of?Regular?Legal?Counsel).

　　未经双方协商同意，乙方服务范围不包括甲方控股、参股的子公司，异地分支机构和其他关联企业的法律事务。

　　Service?scope?of?Party?B?does?not?cover?thelegal?affairs?of?Party?A's?subsidiaries,?branches?or?other?affiliatedenterprises,?unless?otherwise?agreed?by?both?parties.

　　未经双方协商同意，乙方服务范围不包括甲方涉及的民事、经济、知识产权、劳动争议、刑事、行政诉讼和仲裁；也不包括甲方涉及长期投资、融资、企业改制、重组、购并、破产、股票发行、上市等专项法律顾问事务。

　　Service?scope?of?Party?B?does?not?include?civil,?economic,intellectual?property,?labor?disputes,?criminal,?administrative?litigations?andarbitrations?that?Party?A?involved?in;?it?neither?covers?the?special?legalservices?concerning?long-term?investment,?financing,?corporate?restructuring,reorganization,?merger?and?acquisition,?bankruptcy,?stock?issuance?and?listing,etc.

　　以上法律事务甲乙双方应当另行签订委托代理合同或专项法律顾问合同。

　　Theaforementioned?legal?affairs?not?covered?in?service?scope?should?be?stipulatedby?separate?Agent?Contract?or?Special?Legal?Counsel?Contract?by?and?between?bothparties.

　　三、工作方式：

　　Article?3?Service?Mode

　　1.运用电话、传真、电子邮件等通讯方式或者以面谈的方式，及时解答甲方提出咨询的各种法律问题，及时处理合同的审查和修正事宜。

　　Timely?reply?on?various?legal?queries,?review&?amend?contracts?from?Party?A?through?telephone,?fax,?e-mail?or?face?toface?interview.

　　2.根据甲方要求，定期或不定期到甲方所在地讨论解决重大法律问题：

　　According?to?Party?A’s?request,?Party?B?shallregularly?or?occasionally?visit?Party?A?for?discussion?and?solution?uponsignificant?legal?issues.

　　§???乙方不定期到甲方所在地办公，甲方一经邀请，乙方应及时确定时间，到场办公。

　　Party?B?shall?occasionally?work?in?Party?A'ssite.?Once?invited,?Party?B?shall?confirm?theschedulewith?Party?A?promptly,?and?visit?Party?A's?site?for?temporary?work.

　　四、甲方的权利和义务：

　　Article?4??Party?A’s?Rights?and?Obligations

　　1.甲方应向乙方真实、全面、及时地提供甲方的信息、资料，并承诺保证所提供信息、资料的合法、真实、完整、有效；

　　Party?Ashall?timely?provide?authentic?and?comprehensive?information?and?materials?to?PartyB,?and?guarantee?its?legitimacy,?authenticity,?integrity?and?validity;

　　2.甲方提出办理的法律事务应当明确、合理，工作要求应当具体，时限应当清晰，对乙方所需要的资料应当尽快收集补充，积极配合乙方律师的调查取证，因资料迟到，工作时限应当顺延；

　　Thelegal?affairs?put?forward?by?Party?A?should?be?explicit?and?rational,?withdefinite?service?requirements?and?clear?time?limit.?Party?A?should?collect?and?supplementthe?materials?required?by?Party?B?as?soon?as?possible,?and?actively?collaboratewith?attorneys?of?Party?B?in?evidence?investigation?and?collection;?time?limitshould?be?extended?along?with?the?postponing?of?materials;

　　3.甲方应当对委托法律事务作出的判断和决策，乙方律师提出的法律意见、建议、方案仅供甲方参考；

　　Party?Ashould?make?independent?judgments?and?decisions?on?entrusted?legal?affairswhile?the?legal?suggestions,?proposals?and?schemes?provided?by?Party?B?are?onlyfor?reference;

　　4.甲方应按本合同的约定向乙方支付常年法律顾问费用；

　　Party?A?shall?pay?legal?counseling?fee?to?Party?Bas?stipulated?herein;

　　5.甲方应配合乙方律师进行工作，必要时需提供相应的办公场所和条件；

　　Party?Ashould?cooperate?with?attorneys?of?Party?B?and?provide?appropriate?offices?andconditions?if?necessary;

　　6.甲方有权对乙方所有工作进行监督、指导。

　　PartyA?is?entitled?to?supervise?and?direct?Party?B's?counseling?work?for?Party?A

　　五、乙方的权利和义务：

　　1.乙方有权查阅与法律事务有关的文件和资料，了解甲方在生产、管理、经营活动中有关情况；

　　Party?Bis?entitled?to?consult?documents?and?materials?related?to?legal?affairs?so?asto?grasp?the?production,?administration?and?operation?state?of?Party?A;

　　2.?乙方有权按年度向甲方收取常年法律顾问费用；

　　Party?Bis?entitled?to?collect?annual?legal?counseling?fee?from?Party?A;

　　3.乙方应根据甲方的委托授权进行工作，不得超越委托代理权限。

　　Party?B?shallwork?within?the?scope?of?Party?A's?authorization?and?shall?not?overstep?itsagency.

　　4.乙方在对工作中所接触、了解到的有关甲方生产、管理、经营以及对外活动中的商务机密负有保守秘密的义务。

　　Party?Bis?obliged?to?keep?Party?A's?commercial?secrets?on?production,?administration,?operationand?outreach?activities?obtained?during?work?contacts;

　　5.乙方顾问律师应及时承办甲方委托办理的法律事务，如因故不能履行法律顾问职责时，乙方应及时与甲方协商另指派律师替代。

　　Counselfrom?Party?B?shall?promptly?deal?with?legal?affairs?entrusted?by?Party?A;?inthe?event?that?the?legal?counsel?could?not?perform?the?duties?for?certainreason,?Party?B?shall?promptly?consult?with?Party?A?and?delegate?anotherattorney?as?a?substitution.

　　6.?乙方顾问律师未经甲方同意，不得为甲方员工提供针对甲方的法律服务；不得担任涉及甲方的对抗性案件或者交易活动中另一方的法律顾问或者委托代理人。

　　Withoutthe?consent?of?Party?A,?the?counsel?from?Party?B?shall?not?provide?legalservice?against?Party?A?to?its?employee?and?shall?not?act?as?the?legal?counselor?agent?of?the?other?party?in?adversarial?cases?or?trading?activitiesinvolving?Party?A.

　　六、法律顾问费用：

　　甲乙双方协商同意按以下标准结算法律顾问费用：

　　2.?关于费用的其他约定：

　　（1）乙方对甲方诉讼仲裁事务与专项法律顾问工作另行收费，具体委托和收费事宜由双方另行签订专项事务委托合同。

　　For?litigation?and?arbitration?affairs?andspecial?legal?services,?Party?B?shall?ge?separately.?Details?about?entrustmentand?fee?will?be?stipulated?by?special?agency?contract?signed?by?both?parties.

　　（2）发生人民、仲裁机构、行政机关收取的诉讼费、仲裁费、鉴定费、行政许可费等费用由甲方自行承担支付。

　　The?court?cost,?arbitration?fee,?appraisalfee,?administrative?license?fee?and?other?fees?ged?by?people’s?court,?arbitrationinstitutions?and?administrative?organs?shall?be?paid?by?Party?A.

　　（3）若需乙方异地出差，则乙方全部外地差旅食宿费用（由甲方事先核定确认）均由甲方承担，甲方于收到乙方相关票据之日起五（5）个工作日内按实报实销原则向乙方支付。

　　If?business?trip?is?necessary,?all?thetransportation?and?accommodation?costs?of?Party?B?concerning?the?trip(confirmedby?Party?A?in?advance)?shall?be?borne?by?Party?A.?Party?A?shall?make?payment?toParty?B?within?five(5)?working?days?upon?the?receipt?of?related?vouchers?fromParty?B?for?reimbursement.

　　（4）甲方在乙方没有特殊书面指令的情况下，应当将本协议约定的顾问费汇入乙方下述银行账号：

　　七、乙方代理甲方参加重大项目谈判、诉讼、非诉讼交涉、调解或者仲裁活动等属于专项事务的，应另订委托合同，乙方可酌情减低收费，金额由双方协商确定。参与诉讼或仲裁活动的，经双方同意乙方亦可采取风险代理制，即按实际收回款项额或实际减少损失额的X%收取律师费用。

　　八、本合同为常年合同，自合本同签订之日起生效。任何一方如需解除本合同的，应提前一个月书面通知另一方，经双方协商一致并书面确认，本合同即告终止，否则视为自然延续。

　　甲乙双方因履行本合同而相互发出或者提供的所有通知、文件、资料，均以签署页所列明的地址、传真送达，一方如果迁址或者变更传真、电话的，应当书面通知对方。
